Terms of Service

The contract between your organisation and DFPAS UG (haftungsbeschränkt) for the use of LegalReview.

Version 2026-09-09Last updated 9 September 2026

These terms

These Terms govern your organisation's use of LegalReview, provided by DFPAS UG (haftungsbeschränkt), Domnauer Str. 40 L, 12105 Berlin, Germany, registered at Amtsgericht Charlottenburg under HRB 240764 B.

Our contact details are available on our Imprint page.

By creating an account or using LegalReview on behalf of an organisation, you agree to these Terms and confirm that you are authorised to do so.

Business customers only

LegalReview is a business service.

It is intended for companies, organisations, public bodies, self-employed professionals and other people acting for business or professional purposes.

It is not offered for private consumer use.

Accounts and organisations

Access to LegalReview is linked to your email account. Where we use passwordless sign-in, anyone who can access your email may also be able to access your LegalReview account, so you are responsible for keeping your email account secure.

Accounts may be grouped into an organisation based on their company email domain.

Depending on how your organisation is configured, other people using the same company email domain may be able to join the same organisation and see its monitored documents, detected changes and monitoring history.

You should therefore only use a company domain where this type of shared access is appropriate. Public or shared email services should not be used to create a company organisation unless we have agreed another arrangement with you.

You are responsible for deciding who should have access through your organisation's domain. If someone has access who should not, contact us and we may suspend or remove their access.

If your organisation has a more complicated setup — for example several companies sharing a domain, or a consultancy managing clients — contact us so that we can agree an appropriate arrangement.

What LegalReview does

LegalReview monitors publicly accessible web pages that you choose.

These might include:

  • terms of service;
  • privacy policies;
  • data processing agreements;
  • cookie policies;
  • sub-processor lists; and
  • similar vendor documents.

LegalReview may periodically fetch those pages, keep previous versions, identify changes and provide notifications, summaries, classifications or other information about those changes.

The service is automated and is continuously being developed.

Monitoring frequencies shown in the product are targets rather than guarantees.

A page may fail to be monitored or a change may not be detected for many reasons, including because the page:

  • is temporarily unavailable;
  • has moved;
  • blocks automated access;
  • changes its technical structure;
  • requires authentication;
  • is rendered in a way we cannot reliably process; or
  • changes in a way our systems do not detect.

We may decline to monitor, or stop monitoring, a URL where we reasonably believe that monitoring it is technically impractical, unlawful, contrary to the website operator's restrictions, unsafe, or outside the intended use of LegalReview.

Our crawler is intended for publicly accessible information.

Automated information — not legal advice

LegalReview is a monitoring and information tool.

Summaries, descriptions, classifications, priority indicators and similar outputs may be generated automatically, including using artificial intelligence.

They can be wrong, incomplete, delayed or misleading.

LegalReview does not replace your own review of a document and does not provide legal advice tailored to your organisation.

You remain responsible for deciding:

  • whether a detected change matters;
  • what effect it has on your organisation;
  • whether you need legal or other professional advice;
  • whether any action is required; and
  • whether you need to monitor a vendor through additional channels.

Do not use LegalReview as your only way of staying informed about important vendor terms or contractual changes.

Plans, prices and invoices

We may offer free and paid versions of LegalReview.

Free features may change over time and we do not promise that a particular free plan or feature will remain available indefinitely.

Where you use a paid plan, the price and billing period will be shown to you or agreed with you before you are charged.

Unless stated otherwise:

  • prices are in euros;
  • prices are net of VAT or other applicable taxes; and
  • paid subscriptions are invoiced in advance.

At launch, paid subscriptions may be handled directly by invoice.

Invoices are due within 14 days unless the invoice or another written agreement says otherwise.

We may introduce online payment methods or payment providers in the future. If we do, additional payment terms may apply to future purchases or renewals.

If an invoice remains overdue after we have reminded you, we may suspend paid features until payment is received.

Cancellation and refunds

We want cancellation to be simple.

Unless we have specifically agreed a different minimum term with you, you can cancel a paid subscription at any time.

You can cancel through the product where that option is available or by contacting us.

If you pay monthly, cancellation normally takes effect at the end of the current paid month.

If you have paid in advance for more than one month, we will refund any unused complete months after cancellation. The current month is not normally refunded.

First-payment guarantee

If LegalReview does not meet your expectations, tell us within 30 days of your first paid invoice.

We will refund that first payment and cancel the paid subscription.

You do not need to prove that the service was defective.

After a paid subscription ends, your organisation may move to a free version if one is available. Otherwise some or all access may end.

Before closing an account, you should export anything you want to keep.

Your responsibilities

You choose which pages LegalReview monitors.

You must only use the service for lawful business purposes and must have a legitimate reason for monitoring the pages you submit.

You must not use LegalReview to:

  • access pages that are not publicly accessible;
  • circumvent logins, paywalls or other access restrictions;
  • attack, probe or interfere with our systems;
  • gain access to another customer's data;
  • introduce malware or harmful content;
  • use the service in violation of applicable law;
  • systematically republish third-party documents obtained through the service; or
  • copy or use LegalReview to build a substantially competing service.

You are responsible for activity carried out through your organisation's accounts.

If we reasonably believe an account or organisation is creating a security, legal or operational risk, we may restrict or suspend access while we investigate.

Availability

We aim to provide a reliable service, but LegalReview is an early-stage software service and is provided without a service level agreement unless we specifically agree one with you in writing.

We do not guarantee uninterrupted or error-free operation.

The service may be affected by:

  • maintenance;
  • software defects;
  • hosting outages;
  • internet or network failures;
  • third-party services;
  • email delivery problems;
  • website changes;
  • security incidents; and
  • events outside our reasonable control.

Notifications may depend on third-party email or infrastructure providers. We cannot guarantee that every notification will reach your inbox or arrive at a particular time.

Where practical, we will try to restore affected services promptly.

Data protection and confidentiality

We process personal data as described in our Privacy Policy.

Our current sub-processors are listed on our sub-processors page.

Confidential information

Each of us may receive non-public information about the other while using or providing LegalReview.

We will each take reasonable care to protect that information and will use it only for the purpose for which it was provided.

This does not apply to information that:

  • is already public through no breach of confidentiality;
  • was already lawfully known;
  • is lawfully received from someone else;
  • is independently developed; or
  • must be disclosed by law or a competent authority.

For clarity, the fact that a web page being monitored is public does not necessarily mean that your organisation's choice to monitor that vendor or page is public information.

Intellectual property

We retain our rights in LegalReview, including its software, design, systems and branding.

The documents that LegalReview monitors belong to their respective publishers. We do not claim ownership of them.

Your organisation retains its rights in information that it provides to us.

We may create metadata, summaries and other outputs as part of the service.

You may use the outputs LegalReview provides to your organisation for your internal business purposes, including compliance records, audits and internal reporting, and you may share them with your professional advisers.

You may continue using material you have already received or exported after your subscription ends.

Nothing in these Terms gives you ownership of the LegalReview software or the right to reproduce or resell the service itself.

Liability

We do not exclude or limit liability where doing so would not be legally permitted, including liability for intentional misconduct, gross negligence, or injury to life, body or health.

For ordinary negligence, we are liable only where we breach an important contractual obligation that you could reasonably rely on us to perform.

In those cases, our liability is limited to damage that was reasonably foreseeable and typical for this kind of service.

To the extent legally permitted, our total liability for ordinary negligence is limited to the total fees your organisation actually paid us for LegalReview during the 12 months before the event giving rise to the claim.

For ordinary negligence, we are not liable for indirect or consequential losses or lost profits where those losses were not reasonably foreseeable and typical.

In particular, within the limits above, we are not responsible for losses resulting from:

  • treating an automated summary as legal advice;
  • relying on LegalReview instead of reviewing an important document yourself;
  • a change that LegalReview did not detect;
  • an inaccurate or incomplete automated description;
  • a delayed or undelivered notification; or
  • the content, availability or actions of a third-party website.

Nothing in this section limits any liability that cannot legally be limited.

Suspension and termination by us

We may suspend access where reasonably necessary to:

  • protect the security or integrity of the service;
  • investigate suspected misuse;
  • prevent unlawful activity;
  • deal with overdue payments; or
  • protect LegalReview, our customers or third parties from material risk.

Where reasonable, we will tell you why access has been suspended.

We may terminate your organisation's use of LegalReview with 30 days' notice.

We may terminate immediately where there is a serious breach of these Terms, unlawful use, deliberate misuse of the service, a serious security risk, or repeated failure to pay invoices after reminders.

If we end a paid subscription for reasons unrelated to your breach of these Terms, we will refund any prepaid unused complete months.

Changes to LegalReview and these Terms

LegalReview is a developing product. We may add, remove or change features as the service evolves.

If we materially reduce an important feature of a paid service, we will try to give you reasonable advance notice.

If that change makes the service unsuitable for you, you may cancel and we will refund any prepaid unused complete months.

We may also update these Terms from time to time, for example because the service changes or because our legal, security or operational requirements change.

For material changes affecting existing customers, we will normally give at least 30 days' notice by email or through the service.

If you do not agree to a material change, you can stop using LegalReview and cancel before it takes effect. Any prepaid unused complete months will be refunded.

Continuing to use LegalReview after the new Terms take effect means that you accept them.

Changes do not apply retroactively to disputes that arose before the change.

Governing law and final provisions

German law applies to these Terms.

Where legally permitted, the courts in Berlin, Germany have exclusive jurisdiction over disputes relating to LegalReview.

If we agree something different with you in writing for a particular subscription or service, that specific agreement takes priority over these general Terms where the two conflict.

If one part of these Terms is invalid or unenforceable, the rest remains in effect.

Failure by either side to enforce a provision immediately does not mean that the provision has been waived.
